TidyPLC – Combined Legal Notice (Terms of Service, Privacy Policy & Cookie Policy)

This single document (the “Agreement”) governs your use of the website https://www.tidyplc.com and any related sub‑domains, services, applications and tools (collectively, the “Service”). By accessing or using the Service you agree to be bound by every section of this Agreement. If you do not agree, please do not use the Service.

2.1 Use of the Service implies acceptance of this Agreement. 2.2 We may modify the Agreement from time to time. Revised terms take effect when posted. Continued use after changes indicates acceptance.

3.1 You must be at least 16 years old (or the applicable age of digital consent in your country) to create an account. 3.2 You warrant that any registration data you provide is accurate and kept up to date. 3.3 You are responsible for safeguarding credentials. Any activity under your account will be deemed to be yours.

4. Licence to Use

4.1 We grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service for its intended purpose, subject to this Agreement. 4.2 Except as expressly permitted, you may not reproduce, modify, distribute, sell or lease any part of the Service.

6.1 All Content and all related intellectual‑property rights are the exclusive property of Bluengo Initiatives S.L. or its licensors. 6.2 “tidyplc” and related marks are trade marks owned by Bluengo Initiatives S.L. You may not use them without prior written consent.

7. Open‑Source & Third‑Party Components

Some portions of the Service may include open‑source software licensed under separate terms, which will prevail over this Agreement with respect to that software.

8. Fees & Payments (if applicable)

Where fees apply, they are quoted in euros and exclusive of VAT unless stated otherwise. You authorise us to charge the payment method provided for all due amounts. Late payments may result in suspension or interest at the statutory rate.

9. Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by law we make no warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non‑infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Bluengo Initiatives S.L. shall not be liable for any indirect, incidental, consequential, special or exemplary damages, or any loss of profits, data, goodwill or opportunity, even if advised of the possibility. Our aggregate liability shall in no event exceed the greater of: (a) €100; or (b) the total amount you paid us in the six months preceding the event giving rise to liability.

11. Indemnification

You agree to defend, indemnify and hold harmless Bluengo Initiatives S.L. and its affiliates from any claim arising out of your use of the Service or violation of this Agreement.

12. Suspension & Termination

We may suspend or terminate your access immediately with or without notice if we reasonably believe you have breached this Agreement. On termination, all licences granted to you end.

13. Governing Law & Jurisdiction

This Agreement is governed by Spanish law. The courts of Barcelona, Spain shall have exclusive jurisdiction, except where consumer law provides otherwise.

14. Miscellaneous

If any provision is held invalid the remainder will remain in effect. Failure to enforce any right is not a waiver.
